Payment Terms

• • Upfront + completion: Partial payment to start, balance upon delivery
• • Monthly retainer: For ongoing development and maintenance
• • Full upfront: For smaller projects or established clients

Specific payment terms, schedules, and amounts will be clearly defined in each project agreement. Late payments may incur additional fees as specified in the contract.

Intellectual Property

Client IP

Clients retain ownership of their intellectual property, including:

• • Proprietary data and information

Deliverables and Hosting

Ownership and hosting arrangements are flexible and can be discussed based on project needs:

• • Preferred approach: Horizon Studio hosts and maintains solutions on our secure, quality infrastructure
• • Benefits: Continuous monitoring, security updates, bug fixes, and performance improvements
• • Alternative: Full code ownership and self-hosting can be arranged upon request

Our hosting approach ensures long-term reliability, security, and allows us to provide ongoing support and improvements. However, we remain flexible to accommodate specific client requirements. Horizon Studio retains rights to general methodologies, techniques, and know-how developed during projects.

Warranties and Disclaimers

Service Quality

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding:

• • Third-party service integrations
• • Market conditions or regulatory changes
• • Investment outcomes or financial returns

Blockchain Risks

Clients acknowledge the inherent risks of blockchain technology, including but not limited to smart contract vulnerabilities, network congestion, regulatory changes, and market volatility. Horizon Studio is not liable for losses related to these risks.

Limitation of Liability

In no event shall Horizon Studio be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Confidentiality

We maintain strict confidentiality regarding client projects and proprietary information. All team members sign non-disclosure agreements, and we implement security measures to protect sensitive data.

Service Termination

Either party may terminate services with written notice. Upon termination:

• • Payment is due for all completed work and services rendered
• • For hosted solutions: Access and data export will be provided for a transition period
• • For self-hosted projects: All deliverables and code will be transferred
• • Confidentiality obligations remain in effect indefinitely

For ongoing hosting and maintenance services, a reasonable notice period allows for smooth transition or migration. We ensure clients can retrieve their data and maintain business continuity regardless of termination circumstances.

Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes will be resolved through binding arbitration or appropriate legal proceedings.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.
